Agency Riders Agreement

This Agency Riders Agreement (“Agreement”) is made between ComilExpress, a logistics and courier service operated under Macver Technology (“Company”), and the registered Rider Agency (“Agency”).

By registering as a Rider Agency on the ComilExpress platform, the Agency agrees to be legally bound by the terms and conditions set forth below.

1. DEFINITIONS

• Company: ComilExpress, including its directors, employees, and agents.
• Agency: A registered business or entity enrolling multiple riders to carry out delivery services on behalf of ComilExpress.
• Riders: Individuals registered and managed by the Agency to perform delivery tasks.
• Security Registration Fee: A refundable security deposit paid by the Agency based on selected category, used to cover losses, damages, or misconduct.

2. SCOPE OF AGREEMENT

2.1 The Agency is engaged as an independent logistics partner, not an employee or representative of ComilExpress.

2.2 The Agency is authorized to deploy registered riders to carry out delivery services strictly within approved operational guidelines.

2.3 Nothing in this Agreement creates an employer-employee, partnership, or joint venture relationship.

3. AGENCY REGISTRATION CATEGORIES & SECURITY FEES

The Agency shall select one registration category, which determines the maximum cumulative value of goods assignable to the Agency at any time.

3.2 The Company shall not assign goods exceeding the Agency’s approved category value.

3.3 The Company reserves the right to upgrade, downgrade, or suspend the Agency’s category based on performance and compliance.

4. PURPOSE OF SECURITY REGISTRATION FEE

4.1 The security registration fee serves as a financial guarantee against:

• Loss or theft of goods
• Damage to customer products
• Fraud, misconduct, or disappearance of riders
• Breach of delivery obligations

4.2 In the event of loss or damage, ComilExpress is authorized to deduct the replacement cost from the Agency’s security deposit without prior notice.

5. AGENCY OBLIGATIONS

The Agency agrees to:

5.1 Recruit, verify, and manage its riders responsibly.
5.2 Ensure all riders possess valid identification, licenses, and vehicle documents.
5.3 Ensure riders comply with ComilExpress Code of Conduct, delivery timelines, and customer service standards.
5.4 Be fully responsible for the actions, omissions, and misconduct of its riders.
5.5 Immediately report incidents, accidents, delays, or delivery disputes.

6. LIABILITY & INDEMNITY

6.1 The Agency assumes full liability for any loss, damage, or delay caused by its riders.

6.2 The Agency agrees to indemnify and hold ComilExpress harmless from:

• Claims by customers
• Legal actions arising from rider misconduct
• Third-party damages caused during delivery

7. PAYMENT & SETTLEMENT

7.1 Payments for completed deliveries shall be made according to ComilExpress settlement schedules.
7.2 ComilExpress reserves the right to withhold payments where investigations are ongoing.

8. TERMINATION

8.1 This Agreement may be terminated by ComilExpress immediately for:

• Fraud or misrepresentation
• Repeated delivery failures
• Violation of Company policies

8.2 Upon termination, any outstanding liabilities shall be settled before refund consideration of the security deposit.

9. REFUND OF SECURITY REGISTRATION FEE

9.1 Security deposits are refundable only upon:

• Formal termination request
• Completion of all deliveries
• Clearance of all liabilities

9.2 Refunds may be partial or withheld where losses have occurred.

10. CONFIDENTIALITY

The Agency shall not disclose any confidential business, customer, or operational information obtained through ComilExpress.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

12. ACCEPTANCE
