Individual Riders Agreement

1. APPOINTMENT & SCOPE OF ENGAGEMENT

1.1 ComilExpress hereby engages the Rider as an independent delivery rider, and the Rider accepts to provide courier and delivery services on behalf of ComilExpress.

1.2 This Agreement does not create an employer-employee relationship. The Rider is an independent contractor.

1.3 The Rider shall perform delivery services strictly in accordance with ComilExpress operational guidelines, policies, and instructions.

2. RIDER CATEGORY & SECURITY REGISTRATION

2.1 The Rider agrees to register under one of the following categories, which determines the maximum value of goods the Rider is authorized to handle:

2.2 The registration fee paid by the Rider constitutes a security deposit and risk guarantee fund.

2.3 The Rider shall not accept or carry any product exceeding the delivery value assigned to their registered category.

3. PURPOSE OF SECURITY DEPOSIT

3.1 The security deposit is maintained to protect customers and ComilExpress against:

• Loss of goods
• Theft or misappropriation
• Damage due to negligence
• Rider absconding
• Fraud or misconduct

3.2 In the event of any loss or damage attributable to the Rider, ComilExpress is authorized to deduct the equivalent value from the Rider’s security deposit without prior notice.

3.3 Where damages exceed the deposit, the Rider shall remain personally liable for the balance.

4. RIDER OBLIGATIONS

The Rider hereby agrees to:

4.1 Deliver goods safely, promptly, and professionally.
4.2 Handle all items with reasonable care and diligence.
4.3 Follow all delivery instructions provided by ComilExpress.
4.4 Maintain valid identification and vehicle documents.
4.5 Use tracking systems, delivery confirmations, and proof-of-delivery methods as required.
4.6 Refrain from opening, tampering with, or using customer goods.
4.7 Maintain confidentiality of customer and company information.

5. PROHIBITED CONDUCT

The Rider shall not:

• Steal, divert, or misuse customer goods
• Delegate deliveries without authorization
• Provide false delivery confirmation
• Engage in fraud or misconduct
• Accept goods above assigned category limit
• Act in a manner that damages ComilExpress’ reputation

Any violation constitutes gross misconduct.

6. DELIVERY CONFIRMATION & TRACKING

6.1 The Rider shall provide delivery confirmation via:

• Customer signature
• OTP confirmation
• Photographic proof
• GPS tracking

6.2 Failure to provide proof shall be presumed as non-delivery unless otherwise proven.

7. PAYMENT & COMMISSIONS

7.1 Rider earnings shall be based on:

• Completed deliveries
• Distance and delivery type
• Agreed commission structure

7.2 Payments shall be made weekly or as determined by ComilExpress.

7.3 ComilExpress reserves the right to deduct penalties, damages, or liabilities from rider earnings.

8. CATEGORY UPGRADE & DOWNGRADE

8.1 Riders may apply for category upgrades after:

• Minimum 3–6 months clean record
• No unresolved complaints
• Additional security payment

8.2 ComilExpress may downgrade or suspend a Rider for:

• Complaints
• Policy violations
• Risk exposure

9. TERMINATION

9.1 This Agreement may be terminated by ComilExpress immediately in cases of:

• Theft
• Fraud
• Gross negligence
• Breach of trust

9.2 Upon termination:

• Rider access shall be revoked
• Outstanding liabilities deducted
• Balance of security deposit refunded (if applicable)

9.3 Voluntary exit requires 30 days written notice.

10. REFUND OF SECURITY DEPOSIT

10.1 Upon termination and clearance of all liabilities, the remaining balance of the security deposit shall be refunded within 15 – 30 working days.

10.2 No refund shall be made where losses exceed the deposited amount.

11. INDEMNITY

The Rider agrees to indemnify and hold harmless ComilExpress against all claims, losses, damages, or liabilities arising from the Rider’s actions, negligence, or misconduct.

12. CONFIDENTIALITY

The Rider shall not disclose any confidential or proprietary information belonging to ComilExpress or its customers during or after this Agreement.

13. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute shall be resolved in the courts of competent jurisdiction in Nigeria.

14. ENTIRE AGREEMENT

This document constitutes the entire agreement between the parties and supersedes all prior understandings.
